Rules and conditions for using Woodspring Travel websites, travel content, deal listings, travel advisory services, booking links, and related communications.
Overview
1. Acceptance of These Terms
These Terms and Conditions (the “Terms”) govern your access to and use of the Woodspring Travel website, webpages, deal listings, calendars, newsletters, social-sharing tools, inquiry forms, booking links, travel-planning communications, and related online or advisory services (collectively, the “Services”) provided by Woodspring Travel, LLC (“Woodspring Travel,” “we,” “us,” or “our”).
By accessing the Services, requesting information, submitting an inquiry, asking us to research or arrange travel, authorizing a payment, paying a deposit, or otherwise engaging Woodspring Travel, you agree to these Terms. If you do not agree, do not use the Services or request travel services from us.
If you use the Services on behalf of another person, household, group, organization, or business, you represent that you have authority to act for them and to bind them to these Terms. You are responsible for ensuring that each traveler in your party reviews and follows these Terms and all supplier terms that apply to the trip.
2. Business Identity, Host Agency, and Seller-of-Travel Disclosures
Woodspring Travel, LLC is an independent travel agency. Woodspring Travel’s website currently identifies Woodspring Travel as an independent agency of Nexion LLC. Woodspring Travel may use host-agency, consortium, or supplier relationships to access booking systems, preferred supplier programs, travel offers, amenities, and commissionable booking paths.
Seller-of-travel and registration disclosures: California CST # 2071045-50 | Florida Seller of Travel # ST38545 | Washington UBI # 603 046 768. Registration as a seller of travel does not constitute approval by the State of California. Other registration, licensing, bonding, trust-account, disclosure, or consumer-protection requirements may apply depending on the traveler’s location, the supplier, the payment path, and the product purchased.
Our role is limited to travel advising, publishing travel information, facilitating inquiries, and arranging bookings with third-party travel suppliers. Unless expressly stated in a separate written agreement signed by Woodspring Travel, we do not own, operate, manage, control, or provide the aircraft, cruise ships, hotels, resorts, tours, transfers, excursions, insurance products, rail services, vehicles, restaurants, attractions, events, destination services, or other travel products supplied by third parties.
3. Our Role as Travel Advisor and Booking Intermediary
Woodspring Travel acts as an advisor, booking intermediary, and/or agent for disclosed or identifiable travel suppliers, including but not limited to cruise lines, airlines, hotels, resorts, tour operators, transportation providers, excursion operators, travel insurance providers, destination management companies, consolidators, wholesalers, and other independent suppliers (collectively, “Suppliers”).
Each Supplier is an independent contractor and is solely responsible for its own products, services, operations, employees, representatives, financial condition, schedules, pricing, rules, safety practices, accessibility accommodations, cancellation policies, refund policies, and performance. Supplier terms and conditions apply to each booking and may be more restrictive than these Terms. When there is a conflict between these Terms and a Supplier’s terms for a specific travel product, the Supplier’s terms control for that product except to the extent prohibited by law.
We may recommend travel options based on information available to us, your stated preferences, supplier information, and our professional judgment. Recommendations are not guarantees that a trip, destination, Supplier, itinerary, price, cabin, hotel, room, excursion, or experience will satisfy every expectation or remain available.
4. Eligibility, Authority, and Traveler Information
You must be at least 18 years old and have legal authority to use the Services, request travel planning, make reservations, and authorize payments. You agree that all information you provide is true, accurate, current, and complete, including traveler names, dates of birth, gender markers where required by suppliers or governments, contact information, loyalty numbers, passport information, visa information, accessibility needs, medical or dietary requests, emergency contacts, and payment details.
Names on reservations must match the applicable government-issued travel documents exactly. You are responsible for reviewing all quotes, invoices, confirmations, itineraries, receipts, travel documents, and supplier communications promptly and notifying us immediately of any error. Failure to identify an error quickly may result in supplier penalties, fare increases, denied boarding, cancellation, or loss of funds.
You may not make speculative, false, fraudulent, abusive, automated, or unauthorized bookings or inquiries. We may decline, cancel, or refuse service where we reasonably suspect fraud, abuse, unlawful activity, payment risk, harassment, security risk, or violation of these Terms or Supplier terms.
5. Travel Deals, Website Content, and Availability
Travel content on the Services is provided for general informational, promotional, and convenience purposes. Deal listings, calendars, routes, dates, cruise titles, hotel names, amenities, maps, descriptions, images, cabin categories, prices, taxes, fees, promotions, supplier benefits, availability, and booking links may change quickly and without notice.
Website listings are not binding offers by Woodspring Travel. A trip is not confirmed unless and until the applicable Supplier accepts the booking and the required deposit, payment, ticketing, confirmation, or other supplier-required steps are completed. Prices and availability are subject to change until confirmed under the Supplier’s rules. We are not responsible for price changes, sold-out inventory, schedule changes, itinerary changes, taxes, fees, exchange-rate changes, or errors before confirmation.
We try to publish useful and accurate information, but travel content may be incomplete, outdated, mistranslated, miscategorized, or affected by technical, supplier, or data-feed errors. We reserve the right to correct errors, update listings, remove content, cancel erroneous requests, or decline to honor inaccurate information to the fullest extent permitted by law.
6. Quotes, Deposits, Payments, and Credit Card Authorization
Quotes are estimates based on information available at the time provided. Unless expressly stated in writing, quotes do not include every possible tax, port charge, resort fee, gratuity, fuel supplement, baggage fee, seat fee, excursion cost, insurance premium, visa fee, passport fee, destination fee, parking fee, transfer cost, currency-conversion charge, foreign transaction fee, or optional service.
Bookings may require deposits, installment payments, or final payments by deadlines set by Suppliers. Missing a payment deadline may result in cancellation, price increase, loss of deposit, loss of promotion, or other penalties. You are responsible for all charges, taxes, fees, penalties, and assessments associated with your requested travel arrangements.
When you provide payment information or a payment authorization, you authorize Woodspring Travel, the applicable Supplier, the host agency, payment processor, or other authorized booking party to charge the payment method for the amounts you approved, including deposits, final payments, change fees, cancellation penalties, planning fees, insurance premiums, supplier fees, and other agreed charges. For security, do not send full payment card numbers, card images, passwords, or sensitive payment credentials by ordinary email.
Payments may be processed by Suppliers, host-agency systems, secure payment processors, or other third-party systems. Woodspring Travel does not intend to store full payment card numbers on its website. Payment processing is subject to the processor’s and Supplier’s terms, privacy practices, fraud controls, and security procedures.
7. Agency Fees, Supplier Commissions, and Advertising Disclosure
Woodspring Travel may receive compensation from Suppliers, host-agency programs, affiliate programs, referral programs, advertising relationships, or commissionable links when you request information, click a link, or purchase travel through certain paths. Unless otherwise disclosed, this compensation is paid by the Supplier or program and is not intended to increase the price you pay.
We may also charge separate professional planning, research, consultation, change, cancellation, service, group-management, or concierge fees. Any such Woodspring Travel fee should be disclosed before it is charged. Woodspring Travel fees are separate from Supplier charges and may be non-refundable once work begins or as otherwise disclosed in writing.
Some website links, social posts, emails, newsletters, deal pages, or booking paths may be affiliate, referral, partner, or commissionable links. We aim to make compensation relationships clear where they may affect a consumer’s understanding of our content. Our recommendations should be evaluated together with Supplier terms, your own research, and any official travel guidance that applies to your circumstances.
8. Cancellations, Changes, Refunds, and Chargebacks
Cancellation, change, rebooking, future-travel-credit, and refund rights are controlled primarily by the applicable Supplier’s terms and by applicable law. Supplier penalties may apply immediately after booking or deposit, and some bookings are partially or fully non-refundable. Supplier rules may differ by fare type, promotion, cabin category, room type, rate code, itinerary, destination, date, and payment status.
All cancellation or change requests should be sent to Woodspring Travel in writing at contact@woodspringtravel.com. A request is not effective until received and processed by the applicable Supplier, and processing may be limited by Supplier hours, deadlines, technology, and policies. We are not responsible for Supplier penalties, fare differences, sold-out replacement inventory, loss of promotions, or delays resulting from late or incomplete requests.
Refund timing is controlled by Suppliers, payment processors, card networks, banks, and applicable law. Refunds, when available, may take weeks or longer and may be issued to the original form of payment, as travel credit, or as otherwise permitted by Supplier terms and law. Woodspring Travel is not responsible for Supplier refund delays, Supplier insolvency, Supplier refusal to refund, or bank/card processing delays.
You agree to raise good-faith billing questions with Woodspring Travel promptly. Except for genuine fraud, unauthorized charges, or rights that cannot be waived by law, you agree not to use chargebacks or payment reversals to avoid Supplier cancellation rules, non-refundable terms, payment deadlines, or charges you authorized. If a chargeback is filed contrary to these Terms or Supplier terms, you remain responsible for amounts properly owed and for reasonable costs of collection to the extent permitted by law.
9. Air Travel, Cruises, Hotels, Tours, and Supplier-Specific Rules
Airline tickets are subject to airline contracts of carriage, fare rules, security rules, baggage rules, schedule-change policies, cancellation policies, and refund rules. Airlines may change schedules, aircraft, seats, routes, terminals, connection times, and baggage policies. Seat assignments, upgrades, special meals, accessibility requests, loyalty benefits, and other requests are not guaranteed unless confirmed by the airline and honored at travel time.
Cruises are subject to cruise-line passenger ticket contracts, health protocols, embarkation rules, documentation requirements, port rules, itinerary-change rights, tendering conditions, onboard conduct rules, age restrictions, pregnancy policies, cancellation schedules, and refund rules. Cruise lines may change ports, order of ports, arrival/departure times, ships, onboard programs, cabins, dining, entertainment, or protocols for safety, weather, operational, governmental, or other reasons.
Hotels, resorts, vacation rentals, tours, transfers, excursions, and activities are subject to Supplier rules regarding rates, taxes, resort fees, deposits, security holds, check-in/check-out times, room/cabin assignment, bedding requests, occupancy limits, accessibility, minimum ages, local laws, cancellation penalties, damage deposits, and conduct. Special requests are requests only unless expressly guaranteed in writing by the Supplier.
10. Passports, Visas, Entry Requirements, and Travel Documents
You are solely responsible for obtaining and carrying valid passports, visas, transit visas, entry authorizations, vaccination records, parental consent forms, identification, driver’s licenses, permits, and other documents required by governments, Suppliers, carriers, or destinations. Requirements can vary based on citizenship, residency, destination, routing, connection points, prior travel, criminal history, health status, age, and other personal circumstances.
Woodspring Travel may provide general reminders or links to resources, but we do not provide legal, immigration, consular, or governmental advice. You should verify requirements with official government sources, embassies, consulates, airlines, cruise lines, and other Suppliers before booking and before travel. Denied boarding, denied entry, quarantine, deportation, fines, additional expenses, or trip interruption caused by insufficient documents are your responsibility.
11. Health, Safety, Accessibility, and Special Requests
Travel involves inherent risks, including illness, injury, death, crime, terrorism, civil unrest, severe weather, natural disasters, transportation failures, strikes, political instability, remote medical conditions, insects or animals, food or water issues, communicable disease exposure, and other foreseeable or unforeseeable events. By traveling, you voluntarily assume these risks.
You are responsible for evaluating destination risks, health requirements, accessibility needs, mobility limitations, pregnancy restrictions, medication needs, medical-device needs, allergies, dietary restrictions, and fitness for travel. Consult qualified medical, legal, safety, immigration, or other professionals as appropriate. Official travel advisories, Supplier protocols, and local rules can change at any time.
We will make reasonable efforts to communicate accessibility, dietary, medical, bedding, seating, celebration, adjoining-room, cabin-location, or other special requests to Suppliers when you provide them in time. Such requests are not guaranteed unless confirmed in writing by the Supplier and honored at travel time. Suppliers, venues, ports, aircraft, ships, hotels, vehicles, destinations, and excursions may have accessibility limitations outside our control.
12. Travel Protection and Insurance
Woodspring Travel strongly recommends that travelers consider comprehensive travel protection or travel insurance appropriate for their trip, including coverage for cancellation, interruption, emergency medical care, evacuation, travel delay, baggage, supplier default where available, and other risks. Insurance availability, coverage, exclusions, pre-existing-condition waivers, cancellation-for-any-reason options, claim procedures, and deadlines vary by policy and jurisdiction.
Woodspring Travel is not an insurance company and does not determine coverage, approve claims, or guarantee claim outcomes. Insurance policy terms control. You are responsible for reviewing the policy, certificate, exclusions, benefit limits, and claim requirements before purchase.
13. Communications, Consent, and Electronic Records
You consent to receive communications from Woodspring Travel by email, phone, text message, website form, newsletter, social media, online chat, booking platform, or other channels you use with us. Communications may include quotes, booking information, payment reminders, itinerary updates, marketing messages where permitted, legal notices, and service messages.
You agree that electronic signatures, checkbox consents, email approvals, payment authorizations, and other electronic records may satisfy writing and signature requirements to the fullest extent permitted by law. You are responsible for keeping your contact information current and monitoring email, spam folders, text messages, Supplier communications, and travel documents.
You may unsubscribe from marketing emails using the unsubscribe mechanism provided or by contacting us. Transactional, legal, or booking-related messages may still be sent where necessary to provide Services or maintain records.
14. Website Accounts, Security, and Acceptable Use
If account features, saved trips, inquiry tools, forms, or interactive services are available, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of suspected unauthorized access.
You agree not to: (a) use the Services for unlawful, fraudulent, misleading, abusive, harassing, or infringing purposes; (b) interfere with website operation or security; (c) attempt to bypass access controls, rate limits, robots controls, authentication, or other safeguards; (d) upload malware, malicious scripts, or harmful content; (e) scrape, crawl, copy, or harvest content in a way that burdens the site or violates law; (f) impersonate another person or misrepresent authority; (g) submit false traveler, payment, or contact information; or (h) use the Services in a way that could harm Woodspring Travel, Suppliers, users, or third parties.
We may monitor, block, throttle, suspend, or terminate access to protect the Services, users, Suppliers, legal compliance, and security. We may preserve and disclose information when reasonably necessary to investigate abuse, comply with law, enforce these Terms, protect rights, or respond to legal process.
15. Intellectual Property and Limited License
The Services, including website design, text, graphics, logos, icons, page layouts, code, compilations, deal organization, photographs, videos, data selections, calendars, and other materials, are owned by Woodspring Travel or its licensors and are protected by copyright, trademark, trade dress, database, and other intellectual-property laws.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial travel research and lawful interaction with Woodspring Travel. You may not copy, reproduce, distribute, modify, create derivative works, publicly display, sell, resell, exploit, or use our content for commercial purposes without prior written permission, except for ordinary social sharing tools we provide.
Supplier names, cruise-line names, hotel names, airline names, destination names, trademarks, logos, images, and other third-party materials are the property of their respective owners. Reference to a Supplier does not imply ownership by Woodspring Travel.
16. User Content, Reviews, Photos, and Feedback
If you submit reviews, testimonials, comments, photos, videos, messages, preferences, feedback, or other content to Woodspring Travel (“User Content”), you represent that you have the right to provide it and that it does not violate law or third-party rights. You grant Woodspring Travel a non-exclusive, worldwide, royalty-free license to use, reproduce, edit, publish, translate, display, distribute, and create derivative works from User Content for operating, marketing, improving, and documenting the Services, subject to our Privacy Policy and applicable law.
We may decline, edit, or remove User Content that we believe is inaccurate, unlawful, defamatory, obscene, infringing, abusive, misleading, spam, security-sensitive, or otherwise inappropriate. We are not obligated to publish User Content or to maintain copies.
17. Third-Party Websites, Supplier Links, Social Platforms, and App Stores
The Services may link to or integrate with third-party websites, booking engines, payment processors, Suppliers, insurance providers, social networks, map services, app stores, analytics providers, advertising networks, email providers, and other services. These third parties are not controlled by Woodspring Travel and are governed by their own terms, privacy policies, security practices, and accessibility practices.
Woodspring Travel is not responsible for third-party content, availability, accuracy, pricing, security, privacy, accessibility, advertising, malware, outages, account requirements, or business practices. You should review third-party terms and policies before interacting with them or making purchases.
18. Privacy, Cookies, and Data Protection
Our collection, use, sharing, and protection of personal information is described in our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. Do not submit highly sensitive information unless necessary for a travel request and unless we provide a secure method for submission.
Travel planning often requires sharing traveler information with Suppliers, host-agency systems, payment processors, insurance providers, destination service providers, and other parties necessary to research, quote, book, manage, or service travel. Some recipients may be located outside your state or country, and data-protection laws may differ from those in your location.
19. Disclaimers of Warranties
To the fullest extent permitted by law, the Services and all website content are provided on an “as is,” “as available,” and “with all faults” basis. Woodspring Travel disclaims all warranties, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, security, availability, error-free performance, and suitability of travel products for your needs.
We do not warrant that the Services will always be available, secure, uninterrupted, accurate, current, translated correctly, free of defects, or free of harmful components. We do not warrant the performance, safety, financial stability, or quality of any Supplier or destination.
20. Limitation of Liability
To the fullest extent permitted by law, Woodspring Travel and its owners, officers, managers, employees, contractors, advisors, representatives, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost business; lost savings; loss of data; loss of goodwill; emotional distress; inconvenience; disappointment; or travel-related losses arising from or related to the Services, Supplier products, destinations, or these Terms.
To the fullest extent permitted by law, Woodspring Travel is not liable for Supplier acts, omissions, defaults, negligence, insolvency, bankruptcy, overbooking, cancellations, delays, missed connections, denied boarding, itinerary changes, equipment failures, service failures, accessibility failures, injuries, illnesses, deaths, property damage, lost baggage, theft, accidents, weather, governmental actions, war, terrorism, civil unrest, pandemics, epidemics, quarantines, strikes, labor disputes, natural disasters, force majeure events, or other matters outside our reasonable control.
To the fullest extent permitted by law, Woodspring Travel’s total aggregate liability for claims arising from or related to the Services, a booking, or these Terms will not exceed the greater of: (a) the Woodspring Travel professional service fees you paid directly to Woodspring Travel for the specific service giving rise to the claim, excluding Supplier charges; or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
21. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Woodspring Travel and its owners, officers, managers, employees, contractors, advisors, representatives, affiliates, licensors, and service providers from and against claims, damages, losses, liabilities, judgments, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising from or related to: (a) your use of the Services; (b) your breach of these Terms or Supplier terms; (c) inaccurate or incomplete information you provide; (d) your travel decisions or conduct; (e) your violation of law or third-party rights; (f) User Content you submit; or (g) disputes among travelers in your party.
22. Force Majeure and Events Beyond Our Control
Woodspring Travel is not responsible for failure or delay caused by events beyond our reasonable control, including acts of God, severe weather, natural disasters, fire, flood, earthquake, epidemics, pandemics, public-health emergencies, quarantine, government actions, border closures, travel bans, war, terrorism, civil unrest, strikes, labor shortages, supplier failures, transportation disruptions, power outages, telecommunications failures, internet failures, cybersecurity incidents, payment-network failures, or other events beyond our reasonable control.
23. Dispute Resolution, Governing Law, and Venue
Before filing a legal claim, you agree to contact Woodspring Travel at contact@woodspringtravel.com and provide a reasonable description of the dispute, the relief requested, and supporting documentation so the parties can attempt to resolve the matter informally.
Unless otherwise required by applicable law or a Supplier’s mandatory rules, these Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. To the fullest extent permitted by law, any lawsuit or court proceeding arising from or related to these Terms or the Services must be brought in the state or federal courts located in Orange County, Florida, and you consent to personal jurisdiction and venue there.
To the fullest extent permitted by law, claims must be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, private attorney general, or representative proceeding. To the fullest extent permitted by law, each party waives the right to a jury trial for disputes arising from or related to these Terms or the Services.
24. International Users and Translations
The Services may be accessible from outside the United States and may include translated content. We make no representation that the Services, travel products, or content are appropriate or available in every jurisdiction. You are responsible for complying with laws that apply to you.
Translations are provided for convenience. If there is a conflict between an English version and a translated version of these Terms or website content, the English version controls to the fullest extent permitted by law.
25. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date indicates when the Terms were last revised. Updated Terms are effective when posted unless a later effective date is stated. Your continued use of the Services after updated Terms are posted means you accept the updated Terms.
For existing confirmed bookings, Supplier terms, payment authorizations, written confirmations, and any separate written agreement may continue to govern the specific booking to the extent required by law or supplier rules.
26. Severability, No Waiver, Assignment, and Entire Agreement
If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not permitted, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, change in control, or transfer of the Services. These Terms, together with incorporated policies, Supplier terms, payment authorizations, written quotes, invoices, confirmations, and any separate written agreement, form the agreement between you and Woodspring Travel regarding the Services.
